According to the Decree No. 108/2018/ND-CP, the procedure for enterprise registration by business registration account has some certain adjustments than before

The online enterprise registration process is also applied to register the operation of branch and representative office, notification of business location establishment. Accordingly, individual, enterprise implement the business registration at National Business Registration Portal as follows:

Step 1: To register the business registration account:

The person who is entitled to sign the application of enterprise registration or who is authorized to implement the enterprise registration procedure shall declare the information at National Business Registration Portal to get the business registration account.

Step 2: To submit the dossier through business registration account

The individual who registers the account according to above provisions shall use the business registration account to declare the information, download the online written and confirm the application of enterprise registration at the National Business Registration Portal.

After completing the submission of enterprise registration application, the individual shall receive the Receipt of online enterprise registration application.

 

Step 3: the process of application settlement

The Business Registration Office takes responsibility to review, send the online notification to request to amend, supplement the application in case the application dossier is not valid. When the application dossier satisfies the conditions to issue the enterprise registration certificate, Business Registration Office shall send information to tax authority competent to create the enterprise code automatically. After getting the enterprise code from tax authority competent, the Business Registration Office shall notify through online regarding to the issuance of enterprise registration certificate.

After receiving the notification of enterprise registration certificate issuance, the individual shall submit a set of application dossier in written and attach the Receipt of online enterprise registration application to the Business Registration Office. The individual can submit such documents directly or by post.

After receiving the application dossier in written, the Business Registration Office shall compare the contents between the online and the application in written, if the contents are the same, the Business Registration Office shall grant the enterprise registration certificate.

In case such applications are not the same, the Business Registration Office shall notify the enterprise to amend, supplement the application dossier.

If over 30 days, from the sending day of notification on issuance of enterprise registration certificate, the Business Registration Office does not receive the application in written, the online application shall not be valid.

The legal representative is responsible for the completeness and accuracy of the paper application compared to the online application. In case the paper application is not consistent with the online application but the applicant fails to notify Business Registration Office, it will be considered fraudulent and dealt with as prescribed in Clause 1 Article 63 of this Decree./.
